Terms of use for the GoGoProp platform at gogoprop.com.

1. About these terms

These Terms & Conditions ("Terms") govern your access to and use of the GoGoProp lending platform (the "Platform"), operated by the GoGoProp group of companies ("GoGoProp", "we", "us", "our"). By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

The GoGoProp entity responsible for the Platform depends on your location and the service used:

2. Definitions

• Platform - the GoGoProp web application, including the borrower/introducer portal and the internal staff command centre.
• User - any person who accesses the Platform, including Clients, Brokers and Staff.
• Client - a borrower or prospective borrower who submits an enquiry or loan application.
• Broker - a broker, introducer or intermediary who submits or manages deals on behalf of Clients.
• Staff - GoGoProp employees and authorised personnel with access to internal features.
• Loan Agreement - the separate, binding facility agreement and associated documents that govern any loan GoGoProp provides.

3. Eligibility and accounts

The Platform is intended for business and professional use in connection with short-term property finance. You must be at least 18 years old and legally able to enter into a contract. Access to certain features is granted by invitation or approval, and we may verify your identity and, for Brokers, your firm and regulatory standing before granting access.

4. The Platform is not a loan offer

Information provided through the Platform - including indicative figures, calculators, and any Decision in Principle (DIP) - is indicative only and does not constitute a binding offer of finance or financial advice. Any DIP is subject to full underwriting, valuation, satisfactory identity and AML checks, and completion of a formal Loan Agreement.

GoGoProp lends only for unregulated buy-to-let and commercial purposes. Loans are subject to status, GoGoProp's lending criteria (including a maximum 65% net loan-to-value and first legal charge), and available funding. Your property may be at risk if you do not keep up repayments under a Loan Agreement.

Hong Kong disclosure: Money Lenders Licence No. 1271/2024. Applicants should read all loan documentation carefully. Borrowing costs money.

5. Your account and security

You are responsible for keeping your login credentials confidential and for all activity under your account. You must notify us immediately at support@gogoprop.com if you suspect unauthorised access. You must not share your account or allow others to use it.

6. Acceptable use

You agree not to:

• submit false, misleading, or fraudulent information;
• use the Platform for any unlawful purpose or to facilitate money laundering, fraud or financial crime;
• attempt to gain unauthorised access to the Platform, other accounts, or our systems;
• introduce malware, scrape data, or interfere with the Platform's operation or security;
• upload content you do not have the right to share, or that infringes another party's rights.

7. Information and documents you provide

You must ensure that all information and documents you submit are accurate, current and complete, and that you are entitled to provide them. We rely on this information to assess enquiries and meet our regulatory obligations. Providing false information may result in refusal of an application, suspension of access, and referral to the relevant authorities.

8. Brokers and introducers

If you use the Platform as a Broker, you confirm that you have the necessary authority and consents to submit and manage information on behalf of your Clients, including consent to share their personal data with GoGoProp. You are responsible for the accuracy of what you submit and for complying with all laws and regulations applicable to your activities, including data-protection and anti-money-laundering requirements.

9. Third-party services

The Platform integrates third-party services to support the lending workflow, including identity and AML screening (Cynopsis), automated valuations (HomeTrack) and property intelligence (Property Data). Where you are directed to a third-party provider (for example, to complete an identity check with Cynopsis), that provider's own terms and privacy notice apply to your use of their service. We are not responsible for third-party services beyond our reasonable control.

10. Intellectual property

The Platform, its software, design, content and trademarks are owned by or licensed to GoGoProp and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose. You may not copy, modify, reverse-engineer, resell or create derivative works from the Platform without our written permission.

11. Availability and no warranty

We aim to keep the Platform available and accurate, but we provide it "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or that calculator outputs and third-party data are free from error. We may modify, suspend or discontinue features at any time.

12. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded by law (including for death or personal injury caused by negligence, or for fraud). Subject to that, to the fullest extent permitted by law, GoGoProp is not liable for indirect or consequential loss, loss of profit, business or data, or for loss arising from your reliance on indicative figures or third-party data. In any event, and subject to the paragraph above, GoGoProp's total aggregate liability to you arising out of or in connection with your use of the Platform is limited to £100.

13. Confidentiality

The Platform contains confidential and commercially sensitive information, including Client data and internal deal information. Users, particularly Staff and Brokers, must keep such information confidential, use it only for its intended purpose, and not disclose it except as permitted by GoGoProp or required by law.

14. Data protection

We handle personal data in accordance with our Privacy Policy and applicable data-protection law (UK GDPR and, in Hong Kong, the Personal Data (Privacy) Ordinance). Please read the Privacy Policy to understand how we collect and use personal data.

15. Suspension and termination

We may suspend or terminate your access to the Platform at any time if you breach these Terms, if required for security or legal reasons, or if we reasonably suspect misuse or fraud. Provisions that by their nature should survive termination (including intellectual property, confidentiality and limitation of liability) will continue to apply.

16. Governing law and jurisdiction

The governing law and courts that apply depend on the contracting GoGoProp entity and your location:

• where your relationship is with GoGoProp Finance Limited (Hong Kong), these Terms are governed by the laws of the Hong Kong Special Administrative Region, and the Hong Kong courts have jurisdiction;
• where your relationship is with GOGOPROP FINANCE UK LIMITED, these Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction.
